I. INTRODUCTION

Troy Jarvis was hired as the sales manager at Fairbanks Nissan. His employment contract included a performance incentive: by meeting certain sales benchmarks he could earn an option to purchase as much as thirty percent of the shares in Fairbanks Nissan’s parent corporation, Motors, Inc. Jarvis met those benchmarks but Motors refused to honor his option. Jarvis sued, claiming breach of contract, misrepresentation, and promissory estoppel.
