Carey, J.:

A rather lengthy statement of the facts, as a jury could find them, is necessary to understand the issues of this case. The defendant corporation was organized on October 21, 1952 for the purpose of erecting and operating a race track. Its first Board of Directors consisted of four individuals who were also its officers. They were Benjamin F. Shaw II, President; Nathan Miller, Vice-President; John C. Hazzard, Secretary; and John W.
