BRONSON, District Judge.
The Northern Oil Company, a corporation, during the years 1938, 1939 and 1940' was engaged in the business of drilling an oil well in northern Utah and selling its stock to the public to finance operations. Their selling organization consisted of a General Sales Manager and not to exceed 8 Division Sales Managers operating under the direction and control of the General Sales Manager.
