QUIST, District Judge.
Plaintiff, Mark A. Krieger (“Krieger”), filed a class action complaint against Defendants, Gast Manufacturing Corporation (“GMC”), Warren E. Gast, William E. Johnson, Kevin C. Gast, Jay Van Den Berg, and Allan Westmaas alleging state law claims for breach of fiduciary duty (Count I), aiding and abetting/inducement and conspiracy to commit a breach of fiduciary duty (Count II), common law fraud (Counts III and IV), negligent misrepresentation (Count V), conspiracy (Count VI), and unjust enrichment (Count VII).1 Krieger’s claims arise out of an August 1996 merger in…
