Plaintiff, the Securities and Exchange Commission (the “SEC” or “plaintiff’), brings this action against China Northeast Petroleum Holdings Limited (“CNEP” or the “Company”), its former CEO Wang Hongjun (“Wang”), its former director Ju Guizhi (“Ju”), and its former Vice President of Corporate Finance and Secretary Jiang Chao (“Chao”), as well as against relief defendants Sun Jishuang (“Sun”) and Jiang Mingfu (“Mingfu”).1 The SEC’s complaint (the “Complaint”) asserts the following claims: (1) securities fraud against all defendants under…
