OPINION
FARNAN, Chief Judge.
Presently before the Court are two related motions in this action for violation of the Investment Company Act of 1940 (“ICA”), breach of contract, breach of fiduciary duty, and fraud. After a brief overview of the factual background, the Court will address the Motion To Strike Or Dismiss The Second Amended Class Action Complaint pursuant to Rule 12(f) and Rule 12(b)(6) filed by all the Defendants in this action.
