OPINION AND ORDER GRANTING PLAINTIFF’S CROSS-MOTION FOR SUMMARY JUDGMENT ON LIABILITY IN PART

WILLIAMS, Judge.

Currently before the Court in this Winstar litigation are the parties’ cross-motions for summary judgment on liability. At issue is *265whether a contract was formed and, if so, whether the risk of regulatory change was shifted to Plaintiff.1
