About 1918, H. K. Mulford, the defendant, an experienced druggist, started the manufacture of certain remedies, on which he held a patent, known as “Medicinal Colloids.” In February, 1920, he had the business incorporated under a charter obtained in New Jersey, by the name of “American Chemical Laboratories, Inc.” The stock had a par value of $100 per share, five hundred shares of which were given the defendant for the prop erty, etc., which he turned over to the corporation.
