AMIDON, District Judge.

The plaintiffs are real estate brokers residing at Los Angeles, Cal., and the defendant is a Utah corporation owning a large ranch in the state of Nevada. Several years prior to the transactions here involved, the company had sold its personal property and ceased active business. The only property which it owned was the ranch, which it was desirous of selling or exchanging for productive property.
