Our opinion and judgment issued on July 28, 2005, are withdrawn, and the following opinion is substituted.

In 1999, the Texas Legislature amended the Public Utility Regulatory Act, restructuring and partially deregulating the elec- trie industry in Texas. See Act of May 27, 1999, 76th Leg., R.S., ch. 406, 1999 Tex. Gen. Laws 2543, 2543-2625 (codified at Tex. UtiLCode Ann. §§ 39.001-.910 (West Supp.2004-05)) (“PURA”).
