MEMORANDUM AND ORDER ROBSON, Senior District Judge.
This cause is before the court on plaintiffs’ Rule 37(a) motion for an order compelling production of documents claimed by defendants to be subject to the attorney-client privilege. For the reasons hereinafter stated, plaintiffs’ motion is granted.
BACKGROUND
This litigation arises out of a tender offer made by Vickers Energy Corporation [hereinafter Vickers], a wholly-owned subsidiary of Esmark, Inc. [hereinafter Esmark], for the minority shares of TransOcean Oil, Inc. [hereinafter TransOcean]. At the time of the tender offer, Vickers was the…
