NATURE OF THE CASE

On September 27, 1987, the defendants Rockford Memorial Corporation (“RMC”) and SwedishAmerican Corporation (“SAC”) executed a Memorandum of Understanding agreeing, in principle, to form a new corporation which would become the sole member of and control RMC and SAC and all their affiliate corporations including their respective principal subsidiaries, Rockford Memorial Hospital (“RMH”) and Swedish-American Hospital (“SAH”).
