McGILL, Justice.
Appellees, as plaintiffs, instituted this suit against appellant as defendant and sought a declaratory judgment 'declaring the rights of the parties under certain certificates of insurance issued by defendant to each of the plaintiffs. By their first amended petition plaintiffs alleged the issuance by defendant of two group contracts of insurance to the El Paso Electric Company Employes’ Association, an incorporated association of which they were members, by which they were insured as well as by the individual certificates issued to them.
