These stockholders’ derivative actions, consolidated by order of Mr. Justice Schreiber (Clayton v. Standard Oil Company, 37 N. Y. S. 2d 259), are brought on behalf of Standard Oil Company (New Jersey) and certain of its wholly owned subsidiaries, who will hereinafter be collectively designated as “ Standard ”. Defendants are Standard, the individuals who were its directors when the acts complained of occurred, and I. Gf. Farbenindustrie Aktiengesellschaft (hereinafter called “I.
