This opinion resolves defendants’ renewed summary judgment motion arising out of the announcement of a proposed hostile tender offer for Phillips Petroleum (“Phillips”) led by Mesa Partners 1 (the “Partnership”). The Plaintiffs allege violations of Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b) (1982) and Rule 10b-5, 17 C.F.R. § 240.10b~5 (1988); a claim under the Racketeer Influenced and Corrupt Organizations Act (“RICO”), 18 U.S.C. §§ 1961-68 (1982); and claims arising under Delaware state law. 2 The named defendants…
