Plaintiff is an automobile dealer selling passenger cars of foreign manufacture in New York City. It formerly sold Alfa Romeo cars under a standard form “Dealer Franchise Agreement” entered into with Alfa Romeo, Inc. (hereafter defendant), a New York corporation, the sole distributor in the United States of Alfa Romeo cars imported from Italy and manufactured by the codefendant, Alfa Romeo, S.p.A., a corporation organized under the laws of the Republic of Italy, with its headquarters in Milan, which is alleged to own all or almost all the outstanding stock of…
