JEFFERSON (Bernard), J. —

Plaintiffs Seymour G. Jacoby, Norman Beck and Morris Appleman filed a complaint for declaratory relief seeking interpretation of a certain amended partnership agreement executed by them and Sam Feldman, now deceased. Named as defendant was Robert Feldman, the decedent’s son, who was the trustee of his father’s estate. Defendant filed a cross-complaint requesting dissolution of the partnership, an accounting, appointment of a receiver, rescission and declaratory relief also.
