This case arises out of alleged violations of the Securities Exchange Act of 1934 (the “Exchange Act”) by China Gerui Advanced Materials Group, Ltd. (“China Ger-ui” or “the Company”) and eight of its current and former Directors and Officers (“Individual Defendants” and collectively, *636“Defendants”).
