Plaintiff James R. Gould (“Gould”), a Bank of America Corporation (“BofA” or the “Bank”) shareholder since 1993, has filed this shareholder derivative complaint (“the Complaint”) against BofA’s Board of Directors (the “Board” or “Individual Defendants”)1 on behalf of Nominal Defen*490dant BofA.
