This case comes before the court on appeal from dismissal pursuant to Civ.R. 12(B)(6) of the amended complaint of plaintiff-appellant Elaine Drage in the Hamilton County Court of Common Pleas. Defendants-appellees in this case are Procter & Gamble (“P&G”) and six of its directors and three of its officers (“the defendant directors”): Edwin L. Artzt, Gordon F. Brunner, Gerald V.
