This appeal involves an action for the alleged termination and breach of a corporate stock purchase agreement. From a judgment of dismissal, plaintiffs appeal.

The factual background giving rise to this action commenced on September 21, 1955, when North-Robbins Plywood Sales, Inc. (hereafter referred to as Sales Company), wholly owned by plaintiffs, entered into a sales agreement with Stevenson Co-Ply, Inc.
