LEON, District Judge.
Before the Court is the motion to dismiss of counterclaim defendant James W. Luce (“Luce”), the former Executive Vice President of the defendant / counterclaim plaintiff corporation, ULLICO. Luce moves to dismiss the counterclaims asserted against him by ULLICO (Counts IV, VI, and VII of the Amended Answer and Counterclaim).
