MEMORANDUM OPINION

KOLLAR-KOTELLY, District Judge.

The present dispute involves proceeds derived from the privatization of Prudential Life Insurance Company (“Prudential”). Currently before the Court is a Motion to Dismiss by Defendants National Education Association (“NEA”) and National Education Members Insurance Trust (“NEA Trust”) for failure to state a claim under Rule 12(b)(6) of the Federal Rules of Civil Procedure.
