I. INTRODUCTION
On October 21, 2009, the undersigned United States District Judge heard oral argument on the Motion to Dismiss [Doeket No. 9] brought by Defendants Robert Anderson, M.D., David Falconer, M.D., Paul Donahue, M.D., and Michael Forseth, M.D. (collectively “the Individual Defendants”). Plaintiff Charles MacDonald’s (“MacDonald”) Amended Complaint [Docket No. 2] asserts eleven claims, including several under the Employment Retirement Income Security Act (“ERISA”), 29 U.S.C §§ 1001-1461.
