MEMORANDUM OPINION
LATCHUM, Chief Judge.
This suit is purportedly brought as a class action by Shamrock Associates (“Shamrock”), a New Jersey limited partnership and minority shareholder in defendant Moraga Corporation (“Moraga”), a Delaware corporation with its principal place of business in California, for damages resulting from alleged violations of Sections 10(b), 14(a) & 20(a) of the Securities Exchange Act of 1934, 15 U.S.C. §§ 78j(b), 78n(a) & 78t(a), and the rules promulgated thereunder, Rule 10b-5,17 C.F.R. § 240.10b-5; and Rule 14a-9, 17 C.F.R. § 240.14a-9.
