MEMORANDUM OPINION AND ORDER

ROBERT M. DOW, JR., District Judge.

Before the Court are motions [29, 36] filed by Defendants W. Gary Griffiths (“Gary Griffiths”) and the Steffes Family Defendants to dismiss the complaint [1] brought by the Securities Exchange Commission (“SEC”) pursuant to Federal Rule of Civil Procedure 12(b)(6). For the reasons stated below, Defendants’ motions to dismiss are respectfully denied.
