MEMORANDUM OPINION AND ORDER

GADOLA, District Judge.

These two consolidated cases involve various claims made by three disgruntled franchisees against Little Caesar Enterprises, Inc. (“Little Caesar”) and various affiliate companies or subsidiaries. The first action, Little Caesar Enterprises v. Smith, No. 93-73354, is a declaratory judgment action by Little Caesar against one of its franchisees, Gary Smith and his company, for a determination of contract rights under their franchise agreement.
