MEMORANDUM

GILES, District Judge.

This suit arises out of the allegedly unconstitutional actions of the defendants relating to enforcement of third-party IRS summonses. 1 The defendants move to dis miss. For the reasons which follow, the motion is granted in part and denied in part.

I. BACKGROUND
