I. Introduction

Plaintiff National Precast Crypt Co., (“Precast”), an Illinois corporation, brought this contract action against defendants Dy-Core of Pennsylvania, Inc. (“Dy-Core”) and Romani Industries, Inc. (“Romani”), both of which are Pennsylvania corporations, pursuant to this court’s diversity jurisdiction.
