The Vice-Chancellor :
The respondent is the surviving corporation of a merger of one Maryland and three Delaware corporations. The merger became effective August 1, 1940. For some years prior to the merger, complainants owned shares of the preferred stock of respondent and also voting trust certificates for shares of its common stock which they had deposited subject to the provisions of a voting trust agreement.
