I. FACTS

Plaintiff Francis Gorman was employed by the Defendant as a vice-president from November, 1986, until his termination by the Defendant Gerald Bloom on October 12, 1994. The Bloom and Gorman families had been friends, and when Bloom purchased Earmark in 1986, he asked Gorman to join him as the second-in-command.
