MEMORANDUM OPINION AND ORDER
PRATT, District Judge.
Plaintiff Susan Martino-Catt filed this action on September 27, 2002 against Defendants E.I. duPont Nemours and Company (“DuPont”) and Pioneer Hi-Bred International, Inc. (“Pioneer”), alleging violations of federal and state securities laws, as well as common law fraud claims, in connection with the sale by Defendants to Dr. Martino-Catt of options to purchase DuPont stock while she was an employee of Pioneer.
