This case arises out of alleged violations of the Securities Exchange Act of 1934 (the “Exchange Act”), by Net 1, UEPS Technologies (“Net.l” or “the Company”); Serge P. Christian Belamant, Net l’s co-founder, Chairman of the Board, and Chief Executive Officer; and Herman Gideon Kotze, Net l’s Chief Financial Officer, Treasurer, and Secretary (collectively, the “Individual Defendants”).
