This is a stockholders’ derivative action brought on behalf of United Artists Corporation (hereinafter referred to as “ United ”) against David 0. Selznick Productions, Inc. (hereinafter referred to as “ Productions ”), Vanguard Filins, Inc. (hereinafter referred to as “ Vanguard ”), David 0. Selznick, Twentieth Century-Fox Film Corporation (hereinafter referred to as “ Twentieth Century ”) and United Artists Corporation.
