MEMORANDUM AND ORDER

This Memorandum addresses motions to dismiss in two separate cases alleging unlawful retaliation against employees of nonpublic companies in the mutual fund industry who complained of improper business activities by their employers. Because the cases share a common defendant, FMR LLC, and both raise the question of the reach of the Corporate and Criminal Fraud Accountability Act of 2002, also known as the Sarbanes-Oxley Act (“SOX”), I address them jointly.
