MEMORANDUM OPINION AND ORDER

HAIGHT, Senior District Judge.

Plaintiffs are a purported class of shareholders in Ford Motor Company (“Ford”) who brought this action against Ford and two of its officers, former President and CEO Jacques Nasser (“Nasser”) and former Group Vice President and CFO Henry D.G. Wallace (“Wallace”), alleging that Ford and its officers made fraudulent or misleading statements with respect to commodities futures activity, in violation of § 10(b) of the Securities Exchange Act of 1934 (the “1934 Act”), Rule 10b-5 promulgated thereunder, and § 20(a) of the 1934 Act. 1
