MEMORANDUM AND ORDER

BECHTLE, District Judge.

Plaintiff, Alexander Cornaglia commenced this class action to recover damages claimed to have been sustained as a result of the purchase of Richton International Corporation (“Richton”) stock pursuant to an allegedly false and materially misleading prospectus and registration statement dated March 23, 1972. The suit is based upon alleged violations of Section 10(b) of the Securities Act of 1934, 15 U.S.C. § 78j(b), Rule 10(b)-5 promulgated thereunder, and Section 11 of the Securities Act of 1933, 15 U.S.C. § 77k(a).
