JACOBSON, Chief Judge.

This appeal requires the court to determine, among other things, whether a transaction whereby the assets of a partnership were transferred to a corporation in ex change for stock of the corporation is in violation of Arizona’s Blue Sky Laws.

This question arises out of litigation instituted by appellant-cross-appellee, George K. Riffle, against appellees-cross-appel-lants, Robert L.
