MEMORANDUM OPINION AND ORDER
SIFTON, Senior District Judge.
Howard Lasker (“plaintiff’), on behalf of himself and others similarly situated, filed this purported class action against UBS Loan Finance LLC and UBS Securities LLC (collectively “UBS”) on February 1, 2008 1 for tortious interference with a business relationship arising out of the planned, but aborted, merger between Genesco, Inc. (“Genesco”) and The Finish Line, Inc. (“Finish Line”). Now before this court is UBS’s motion to dismiss pursuant to Federal Rules of Civil Procedure 12(b)(3), 12(b)(6), and 12(b)(7) 2 .
