MEMORANDUM OPINION AND ORDER

KYLE, District Judge.

Introduction

Plaintiff Home Insurance Company (“Home Insurance”) commenced this action (“Insurance Action”) in the Northern District of California seeking a declaration that it did not have a duty to defend or indemnify Defendants for claims raised in a separate civil action filed against Defendants and others styled Life Point Systems, Inc. et al. v. Cargill, Inc., No. 93-20352, pending in the Northern District of California (“Life Point Action”). The present lawsuit was subsequently transferred to this Court pursuant to 28 U.S.C. § 1404(a).…
