OPINION AND ORDER

This matter is before the Court on defendant’s motion to dismiss plaintiffs’ second amended complaint for lack of subject matter jurisdiction. Defendant filed its motion (“Def.’s Mot.,” docket entry 29) on February 15, 2007. Plaintiffs filed their response (“Pis.’ Resp.,” docket entry 35) on March 20, *3782007. Defendant submitted its reply (“Def.’s Reply,” docket entry 36) on April 5, 2007, and refiled it, at the Court’s request, on April 13, 2007.
