OPINION
PETTINE, Chief Judge.
Important questions of law are raised by several motions to dismiss in this complex and far-reaching litigation.
Plaintiff, a shareholder in four mutual funds,1 has sued sixty-five mutual funds; thirty-eight investment advisors managing these funds; thirty-seven directors, alleged to be affiliated with *133the advisors and to be self dealing; and the Investment Company Institute, the trade association representative for the mutual fund industry.
