I. Introduction

This diversity case arises from a contract dispute between Student Marketing Group, Inc. (“SMG”) and College Partnership, Inc. (“CPI”) regarding a contract to lease mailing lists of high school student names for promotional purposes. SMG claimed CPI breached the contract by failing to make the final three payments due under the agreement.
