Before this Court is a Motion to Dismiss, pursuant to Federal Rule of Bankruptcy Procedure 7012 (“Fed.R.Bankr. P.”) incorporating Federal Rule of Civil Procedure 12(b)(6) (“Fed.R.Civ.P.”), filed by New York State Urban Development Corporation (“Defendant” or “UDC”) on September 13, 2004, in connection with a complaint filed against UDC on August 6, 2004, by State Street Associates, L.P.
