MEMORANDUM OPINION AND ORDER
ALESIA, District Judge.
Before the court is defendants’ motion to dismiss plaintiffs first amended complaint pursuant to Federal Rule of Civil Procedure 12(b)(6). For the following reasons, the court grants in part and denies in part the motion.
I. BACKGROUND
Plaintiffs first amended complaint makes the following allegations which, for the purposes of ruling on this motion, are taken as true.
