Plaintiff commenced this action in August 1999 pursuant to the Employee Retirement Income Security Act (“ERISA”), 29 U.S.C. § 1001, et seq., against defendant HSBC Bank USA (formerly Marine Midland Bank), as trustee of the Lawless Holding Company Employee Stock Ownership Plan (the “ESOP” or “Plan”), seeking to recover the difference between the price paid and the fair market value for shares of ESOP stock redeemed in connection with the January 1994 merger of the Lawless Holding Company and the Chesapeake Packaging Company.
