I. INTRODUCTION

Defendants, CJ CGV America Holdings, Inc. (CJ CGV America), Joon Hwan Choi, Theodore Kim and Sang Heum Cho, appeal from an order denying their motion to compel arbitration. Plaintiffs, Augustine Hong, Michael Hong and Nae Young Chung, sued defendants for fiduciary duty breach. Defendants moved to compel plaintiffs to arbitrate pursuant to an arbitration clause in a stock purchase agreement.
