Of a Washington corporation the above-named decedents Frank D. Oakley and J. C. Buchanan, the plaintiffs Richard T. Sullivan and K. B. Kellogg, all of whom will be referred to hereinafter as respondents, and the defendant corporation, Sudden Lumber Company, were stockholders, defendant owning something short of a majority representing an investment of about $130,000. The Washington company transferred its assets to an Oregon corporation, the Washington company subscribed for and received 476 shares of the preferred stock for which it gave its note for $47,600.
