This class action arises from the initial public offering of securities in Hughes Capital Corporation (“Hughes Capital”) on or prior to 25 August 1986 pursuant to a registration statement (the “Hughes Registration Statement") declared effective by the Securities Exchange Commission (the “SEC”) on 5 May 1986 and amended by post-effective filings on 8 May, 6 June and 14 July 1986.
