Introduction
Plaintiffs St. Paul Fire and Marine Insurance Company and St. Paul Mercury Insurance Company (collectively “St. Paul”) issued professional liability insurance to Defendant MetPath, Inc. 1 (“Met-Path”) for the policy period April 1, 1994 to April 1, 1995. During this period, Met-Path acquired Defendant Maryland Medical Laboratory, Inc. (“MML”) and added MML to its professional liability insurance policy, effective June 8, 1994.
